The first Nasdaq-listed company built around XRP is two days from its debut. Evernorth Holdings expects its merger with the SPAC Armada Acquisition Corp. II to close on October 7, with shares starting to trade on Nasdaq as XRPN on Thursday, October 8. At closing, Evernorth says it will hold roughly 473 million XRP on its balance sheet — a position worth about $710 million at a $1.50 token price, which the company describes as the largest pure-play XRP treasury among publicly traded firms. The deal and its accompanying private placements raised more than $1 billion in total.

The final hurdle fell on September 30, when Armada II shareholders signed off on the deal at a special meeting; the approval was announced October 1 through PR Newswire. The cash side stacks up as roughly $225 million of private-placement equity, a $30 million slug of convertibles and close to $48 million of trust money, topped up by token contributions in kind from some investors. Net of everything, the deal banks about $300 million of gross proceeds in cash. The cap table spans crypto natives and institutions: SBI Group and Ripple are in, alongside Pantera Capital, Arrington Capital, Kraken and GSR — with management noting every funder stayed in the deal, a detail it is leaning on to signal conviction into the first trading day.

What sets Evernorth apart from the bitcoin-treasury template is intent. Chief executive Asheesh Birla, a former Ripple executive, describes the listing as giving traditional investors a "regulated, transparent way" into XRP without buying or custodying tokens directly. More importantly, the company has no plans to sit on the pile: Evernorth says it will put the 473 million tokens to work inside the XRP Ledger ecosystem — DeFi protocols, capital-market arbitrage and liquidity provisioning — aiming to steadily raise the number of tokens standing behind every XRPN share.

Why it matters

XRP has never had a dedicated listed vehicle before. Bitcoin has Strategy and its imitators; ether and solana picked up their own treasury firms this cycle, and XRP — a top-four asset — was the missing piece. The $1 billion raise, with Ripple itself invested, is a quiet referendum on institutional demand for the token: the premium or discount at which XRPN trades to its net asset value will be the market's live verdict on how much equity investors will pay for regulated XRP exposure. It also shows how far the treasury-company model has matured — from one eccentric bitcoin play into a repeatable structure for any major liquid token. This is the kind of regulated on-ramp the stalled crypto market-structure debate in Washington has failed to deliver.

What to watch

  • October 8: XRPN's first trading day — watch the premium/discount to the ~$710M token NAV and day-one volume.
  • XRP price into the listing: near $1.48–1.51, with desks flagging resistance at $1.53–1.57 and support near $1.45–1.48.
  • October 7, 2:00 p.m. ET: the Fed's September minutes — after the 29,000-print jobs report slashed odds of an October hike.
  • the Fed's next scheduled meeting on October 27–28, with the rate at 3.75%–4.00% after September's 25bp hike; September CPI lands October 14.

MarketRadar take

The arithmetic is what makes this listing more than a headline. Between the pre-contribution tally of roughly 347 million XRP and the 473 million expected at closing, about 126 million tokens — nearly $190 million at current prices — arrived as in-kind contributions, which tells you backers were willing to hand over actual tokens rather than just cash. That is a real signal of conviction, not syndicate marketing. The open question is valuation discipline: XRPN only deserves a premium to its ~$710 million token NAV if the active-management strategy generates yield and XRP liquidity stays deep enough for the arbitrage playbook to work. If the shares trade at a steep discount on debut, the read is that equity markets aren't buying the treasury-company model at any token price. Thursday's tape answers it — and the result will ripple through every treasury-vehicle launch queued behind this one. Directionally, a listed, Ripple-backed buyer holding nearly half a billion XRP is a structural positive for the token's institutional standing, even if week-to-week price stays macro-driven: September's 29,000 jobs print and Wednesday's Fed minutes matter more for the next 5% than any single share of XRPN.
